10.1. SELLER warrants that its officers and principals

will exercise that degree of diligence, skill or care in the

selection, appointment, and supervision of its employees,

consultants and agents which would normally be exercised

by duly qualified persons in performing similar functions

and further warrants that with respect to the Work,

SELLER will exercise that degree of skill, efficiency and

judgment commensurate with that which is normally

exercised by recognized professional engineering firms with

respect to work of a comparable nature. SELLER’s liability

for any breach of the aforesaid warranty shall be limited to

the reperformance of that portion of the Work affected by

said breach, at no expense to BUYER, in connection with any

breach of which BUYER gives SELLER written notice at any

time prior to the date one (1) year after mechanical

completion as to be defined in BUYER’s contract for the

construction of the UNIT, but no later than forty eight (48)

months after the EFFECTIVE DATE of this contract as per

Article 21.3.

10.2. SELLER also warrants that it will carry out Work

hereunder in a manner such that guarantees with respect to

the PROCESSES will be met.
